Public Meeting on Proposed Non-profit Hospital Transaction
Involving Catholic Healthcare West and Cottage Health System's Saint Francis Medical Center

The public meeting is being held to receive comments on the proposed transaction between Catholic Healthcare West and Cottage Health System with regard to Saint Francis Medical Center and to consider the Healthcare Impact Report prepared by consultants engaged by the Attorney General in connection with the Attorney General's review of this transaction, as required by Corporations Code section 5920 et seq. The terms of the proposed transaction are set forth in a Notice to the Attorney General, which was received by the Attorney General on March 21, 2003. Copies of the Notice may be reviewed at the Administrative Office of Saint Francis Medical Center, located at 601 East Micheltorena St., Santa Barbara, CA 93103.

Persons may and are encouraged to present their views on the proposed transaction in writing with the Department of Justice by mailing a copy to Wendi A. Horwitz, Deputy Attorney General, 300 S. Spring St., Suite 500, Los Angeles, CA 90013, by May 15, 2003. Persons wishing to present their views orally at the public meeting may do so and are requested to present their request to appear and testify on or before May 12, 2003. Such requests to testify at the meeting should be sent by regular mail or by e-mail to Steve.Bauman@doj.ca.gov. Steve Bauman's address is 300 S. Spring Street, Suite 500, Los Angeles, CA 90013. The public meeting is being held to receive comments on the proposed transaction between Sierra Madre Skilled Nursing Facility and Sierra Madre Land Company, LLC with regard to Sierra Madre Skilled Nursing Facility, as required by Corporations Code section 5914. The terms of the proposed transaction are set forth in a Notice to the Attorney General, which was received by the Attorney General on March 27, 2003. Copies of the Notice may be reviewed at the Administrative Office of Sierra Madre Skilled Nursing Facility, 225 West Sierra Madre Boulevard, Sierra Madre, California.

Persons may, and are encouraged to, present their views on the proposed transaction in writing by mailing their comments to Deputy Attorney General Wendi A. Horwitz, 300 South Spring Street, Suite 500, Los Angeles California 90013, by no later than May 8, 2003. A public hearing will be held in the Mayer Auditorium at the Keith/Mayer Building, 1975 Zonal Avenue, Los Angeles, California 90033 on Tuesday, March 18, 2003 at 2:00 p.m. to consider the Health Impact Report and Valuation prepared by consultants engaged by the Attorney General's office in connection with the Attorney General's review of the sale of assets of the University of Southern California – Kenneth Norris Jr. Cancer Hospital to Tenet HealthSystem Norris, Inc. a subsidiary of Tenet Healthcare Corporation under Corporations Code section 5914.

Terms of the proposed transaction are set forth in a Notice to the Attorney General which may be reviewed at the Office of the Director, Kenneth Norris Jr. Comprehensive Cancer Center, 1441 Eastlake Avenue, Room 8302, Los Angeles, California 90089-9181.
