Shareholder Complaints

The Attorney General has authority under Corporations Code section 1508 to intervene on behalf of shareholders in a corporation who are denied certain specified legal rights. Our intervention takes the form of a "Notice of Complaint" letter to the corporation.

If you would like to complain that a corporation in which you hold shares has failed to hold annual meetings of shareholders, failed to provide annual financial statements for tax purposes, or failed to provide other specific shareholder rights, you may submit your complaint in writing to:

Please be sure to include an address for the corporation and your own return address on your written complaint.

After review of your complaint and if appropriate, we will send our "Notice of Complaint" letter with a copy of your complaint to the corporation and direct it to respond both to our office and to you within 30 days. We will also send you a copy of our notice of complaint.

Many times our "Notice of Complaint" will be sufficient to prompt a recalcitrant board of directors to resolve your complaint. However, you may wish to discuss your problem with your own attorney.
