Limited Partnerships
The Attorney General has authority under Corporations Code
section 15635 to intervene on behalf of limited partners who are
not provided with certain specified rights by the general
partner. Our intervention is generally limited to sending a
"Notice of Complaint" letter to the general partner.
If you would like to complain that the general
partner of your limited partnership investment has
failed to provide annual financial statements for
tax purposes, failed to provide a list of the
names and addresses of the other limited partner
investors or failed to provide other rights
granted by the Corporations Code or by the limited
partnership agreement, you may submit your
complaint in writing to:

Be sure to
include on your complaint an address for the
general partner and your own return address.
After review of your complaint and if appropriate,
we will send our notice of complaint letter with a
copy of your written complaint to the limited
partnership and direct the general partner to
respond both to our office and to you within 30
days. We will also send you a copy of our notice
of complaint.
Many times our "Notice of Complaint" will be
sufficient to prompt an otherwise recalcitrant
general partner to resolve your complaint.
However, you may want to discuss your problem with
your own attorney.
